Course Description

1. Commercial Financing and Advisory Services

We will highlight some of the major considerations clients face when it comes to commercial financing for real estate, equipment, and working capital needs of the business. There are a few major differences between BDC’s approach and that of traditional financial institutions, which will be highlighted during the presentation to get a thorough understanding of the options available in the market. Additionally, we will talk a bit about options available to clients looking for one-on-one guidance and support to grow a specific area of their business, as well as trends in the market today.

2. Senior Debt Market Update and Funding a Shareholder Buyout

In this session, Marcus will provide an update on how the lending landscape has changed since COVID, offer some best practices to negotiate more effectively with lenders and walk the audience through a shareholder buyout example.

3. Tax Issues Involved in Business Transitions Other Than Third-Party Sales

This presentation will discuss salient tax issues involved in a transfer of a business to family members or employees, including the availability of capital gains exemption, the application of subsections 84.1, 55(2), Part VI.1 tax and TOSI. The presentation will also address tax aspects of certain alternative structures for transition, including earnouts, insurance, retiring allowance, and consulting agreement.

Marcus Cote is a director of business development with RBC who has over 1o years of experience and commercial and alternative lending with the BDC, Roynat, GE Capital and RBC. His experience spans across a broad range of industries, company sizes and different situations from rapid organic growth, acquisition financing, business transitions like shareholder or management buyouts to turn arounds. Having worked at a variety of organizations and underwritten a wide mix products like equipment financing, high loan to value mortgages, subordinated debt to lines of credit and term loans and Marcus brings a unique and creative approach to financing complex situations. He holds a bachelor of business management from Dalhousie University and is a Chartered Professional Account and CFA charter holder.

Igor Klibanov is the author of 4 books on fitness, the most recent of which is STOP EXERCISING! The Way You Are Doing it Now. He is also the CEO of one of Toronto's premier personal training companies, Fitness Solutions Plus. Together with his team of fitness professionals, he specializes in helping busy professionals improve their fitness, energy levels, and health.

In the past, Igor has been hired to run fitness seminars for IBM, RBC, the Toronto Lawyers Association, Professional Engineers of Ontario, and others.

Originally from Windsor, Ontario, Alicia received her Honours Bachelor of Commerce (Co-op) degree followed by her Master of Business Administration (MBA) at the University of Windsor in 2018. Throughout her schooling, Alicia held part-time jobs at the University of Windsor and Family Chiropractic Wellness Centre, as well as co-op placements with BlackBerry. Alicia worked as an intern at BDC during the last semester of the MBA, then became a Commercial Account Manager in the Mississauga City Centre location. She has worked at BDC for the past year, gaining valuable experience from her peers, colleagues, and community leaders.

As a partner in RSM’s tax advisory practice, Stephen provides integrated Canadian income tax advice and solutions to the firm’s clients and network partners. In addition to being charged with overseeing complex tax planning engagements, he is also responsible for co-leading the firms M&A Tax Practice which focuses on tax diligence and buy side/sell side tax advisory for private companies and their owners. Stephen works closely with the partner group and Private Equity industry groups to identify and communicate relevant tax issues to the firm’s clients and in the marketplace. A graduate of Wilfrid Laurier University, he joined RSM Canada’s predecessor firm in 2006. Stephen is a CPA, CA, having earned his designation in 2007.

Ms. Nadia Rusak is the managing partner of Cragmore, an independent Canadian based law firm providing tax planning and tax dispute resolution services to individuals, businesses and private equity funds operating in Canada and internationally.

Having spent over 10 years advising and defending some of the most sophisticated public companies and institutional investors operating in Canada and internationally, Ms. Rusak now devotes her practice entirely to private clients, including owner-managed businesses, high-net worth individuals, families and estates. Ms. Rusak has extensive experience in structuring M&A transactions and business reorganizations; representing taxpayers before Canadian and foreign tax authorities; managing sensitive voluntary disclosures; developing estate and succession plans; planning for individual and business migration; and assessing the risks and opportunities of complex tax strategies, financial products, and offshore structures.

Ms. Rusak is a frequent speaker on various topics of Canadian and international tax law at the Canadian Tax Foundation (CTF), International Tax Association (IFA), Association de la planification financière et fiscale (APFF) and Accounting Global Network (AGN). She serves as a sessional lecturer of Taxation and Corporate Taxation at the Faculty of Law, McGill University. She has written numerous books and articles which appear in Canadian and international tax publications.

Ms. Rusak has been recognized as an expert tax lawyer by the Government of Quebec, Lexpert, Chambers Global, Acquisitions International and CREW (Commercial Real Estate for Women).

Ms. Rusak received her B.C.L./LL.B. from McGill University and her Master’s in Tax Law from Osgoode Hall Law School.

David is a business lawyer and a facilitator and the Managing Principal at DSBL Business Law.

David has been working with Business Owners and Family Enterprises for more than 35 years, helping them structure business and shareholder arrangements and guiding them through the succession and estate planning process. David also has an extensive background in advising Business Owners on the sale and purchase of their businesses and in helping them maximize value by positioning their business for a sale.

In addition to his Law degree, David has a Psychology degree and has certification in Family Business Advising, Alternative Dispute Resolution and Mediation and has presented widely on business transition issues.

Talwinder is a Senior Tax Manager within RSM Canada's M&A Tax Practise. Talwinder is responsible for providing tax advisory services to domestic and multinational enterprises to maximize tax efficiency and minimize potential tax risks on transactions that involve an acquisition, divestiture, financing, reorganization or restructuring. He provides integrated Canadian income tax advice and solution to RSM clients and network firms. After having started his tax career at a big four firm in Toronto, he later joined RSM Canada in 2017 and has advised a wide rage of clients from global public to close privately held companies. He has advised clients on a wide range of Canadian domestic and cross-border issues including tax due diligence for mergers and acquisitions, treaty qualification, repatriation, withholding and other domestic tax issues.

Dave Taylor is Director, Growth and Transition Capital with BDC. A seasoned executive with 25 years experience in the financial services sector, Dave is engaged in the sourcing, execution and management of the Growth and Transition Capital team’s debt and equity investments in the Greater Toronto Area. As a promoter of growth capital for businesses across a wide range of verticals, Dave structures financing transactions to enable entrepreneurs to reach their goals.

Before joining BDC, Dave held prominent positions at some of Canada’s largest financial institutions. He was Vice President, Business Banking, at the Bank of Montreal, where he successfully managed a team of commercial relationship managers. Before that, Dave spent 10 years at RBC in progressively senior roles, including Senior Account Manager, Commercial Banking, where he was the primary relationship manager for clients in a variety of verticals. He also spent four years at CIBC in corporate and investment banking, selling North American banking services and products to UK and EU-based companies.
